Terms of Use and End-User License Agreement
Effective October 4, 2026
These Terms of Use and End-User License Agreement (“Terms”) govern access to Compass Core and related client portal features (the “Service”), provided by Compass Group Recruiting LLC (“Compass,” “we,” or “us”). If you access or use the Service, or accept these Terms when prompted, you agree to them. If you use the Service for an organization, you confirm that you are authorized to accept these Terms for that organization.
1. Permission to use the Service
Subject to these Terms and any separate written agreement with Compass, we grant you a limited, revocable, non-exclusive, non-transferable permission to use the Service for your authorized recruiting, hiring, client, and account-management activities. Access is limited to users invited or approved by Compass or by an authorized organization administrator.
2. Accounts and acceptable use
You are responsible for protecting your sign-in credentials, keeping account information accurate, and activity performed through your account. Notify Compass promptly if you believe an account has been accessed without permission. You may not use the Service unlawfully; attempt to access another person’s account or data; interfere with the Service or its security; upload malicious code; or copy, resell, or reverse engineer the Service except where applicable law does not permit that restriction.
3. Information you provide
You are responsible for having the rights and permissions needed to submit information to the Service, including candidate resumes and contact details, client information, job requirements, agreements, and business records. You must use candidate and client information only for legitimate recruiting and business purposes and follow applicable privacy, employment, and data-protection requirements.
You and your organization retain the rights you have in the information you submit. You permit Compass to host, use, and process it as needed to provide, maintain, protect, and support the Service and Compass’s recruiting services, consistent with our Privacy Policy and your separate written agreements with Compass.
4. QuickBooks and other third-party services
The Service may offer connections to third-party services, including QuickBooks Online by Intuit and, where enabled, Stripe. You choose whether to connect an account and authorize the data access requested for the feature. Those services are governed by their own terms and privacy notices. You may disconnect an integration through the available account controls or the third-party service. Disconnecting stops future authorized access; it does not automatically remove records already created or synced in either system.
When invoicing or accounting features are enabled, you are responsible for reviewing customer details, invoice descriptions, rates, amounts, due dates, and payment instructions before an invoice is sent or a payment is initiated. Compass Core is a workflow tool; it does not provide accounting, tax, or legal advice and does not replace your signed client agreement or your accounting system’s records.
5. Compass materials and feedback
Compass and its licensors retain their rights in the Service, software, design, and related materials. These Terms do not transfer ownership of those materials to you. If you send us suggestions about the Service, you allow us to use them to improve it without owing you compensation.
6. Availability and changes
We may update, suspend, or discontinue features to maintain or improve the Service, meet legal requirements, or protect users and systems. We do not promise uninterrupted or error-free availability. We may suspend or end access if a user materially violates these Terms, creates a security risk, or no longer has authorization to use the Service.
7. Third-party materials
The Service may display or connect to third-party products and websites. Compass does not control those services and is not responsible for their terms, availability, or handling of information. Your use of each third-party service is between you and that provider.
8. Disclaimers and limits
To the extent permitted by law, the Service is provided “as is” and “as available,” without warranties that it will meet every requirement or remain available without interruption. Compass does not guarantee a candidate placement, hiring outcome, invoice payment, or the accuracy of information entered by users or supplied by third parties.
To the extent permitted by law, Compass will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Service. Nothing in these Terms limits liability that cannot legally be limited. Any additional limits or remedies in a signed agreement between you and Compass continue to apply according to that agreement.
9. Ending access
You may stop using the Service at any time. Compass may end or restrict access as described above. When access ends, your permission to use the Service ends; provisions that by their nature should continue, including Sections 3, 5, 8, and 10, remain in effect.
10. Other terms
These Terms govern use of the Service. They do not amend or replace a signed recruiting, placement, payment, confidentiality, or other written agreement between you and Compass. If a provision is unenforceable, the remaining provisions remain effective. Compass may update these Terms by posting a revised version here and changing the effective date. Your continued use after an update means you accept the revised Terms.
